The passive systems of resistance with losses of scattering channels are studied. Special attention is paid to the analysis of passive systems of resistance whose basic operators belong to the class $C_0$ of contractions in Hilbert space, having a minimal function in sence of Bela Sz.-Nagy and Ciprian Foiaş.
